Acceptance of Terms

By creating an account or using NexSent ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

Description of Service

NexSent is an email marketing and WhatsApp messaging platform that enables you to create, send, and track email campaigns, send WhatsApp broadcast campaigns, build WhatsApp chatbots, manage WhatsApp message templates, manage subscriber lists, build automations, and analyze delivery performance. The Service is provided "as is" and "as available."

Account Responsibilities

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity under your account
  • You must notify us immediately of any unauthorized use of your account
  • You must be at least 18 years old to use the Service

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You may NOT use the Service to:

  • Send unsolicited bulk email (spam)
  • Send emails to purchased, rented, or scraped email lists
  • Send emails to recipients who have not explicitly opted in to receive your communications
  • Send content that is illegal, harassing, threatening, defamatory, or obscene
  • Distribute malware, phishing attempts, or fraudulent content
  • Impersonate another person or entity
  • Violate the CAN-SPAM Act, GDPR, or other applicable email regulations
  • Send emails related to illegal products, services, or activities
  • Send WhatsApp messages without explicit opt-in consent from recipients
  • Send spam or unsolicited messages via WhatsApp
  • Use WhatsApp messaging for illegal purposes
  • Violate Meta's WhatsApp Business Policy or Commerce Policy
  • Circumvent WhatsApp's messaging limits or quality rating system

Messaging Compliance

All emails and WhatsApp messages sent through NexSent must comply with the following:

CAN-SPAM Act: Include a valid physical mailing address, a clear unsubscribe mechanism, and accurate header information (From name, subject line)

GDPR: If sending to EU recipients, ensure you have lawful basis for processing their data and honor their data rights

Consent: Only send to recipients who have given explicit, verifiable consent

Unsubscribe: Honor unsubscribe requests immediately. NexSent automatically processes unsubscribe requests

WhatsApp Business Messaging Policy: All WhatsApp messages must comply with Meta's Business Messaging Policy

WhatsApp Templates: All WhatsApp message templates must be approved by Meta before use

WhatsApp Marketing Consent: Marketing messages via WhatsApp require explicit user opt-in

WhatsApp Opt-out: You must provide easy opt-out mechanisms for WhatsApp messages

Utility Messages: WhatsApp utility messages (order updates, etc.) must be related to an existing transaction

Sending Limits

Each account is subject to daily and monthly sending limits based on your plan. Limits exist to protect deliverability and ensure fair resource allocation. Attempting to circumvent limits through multiple accounts or other means is a violation of these terms.

WhatsApp message limits are determined by your plan tier and Meta's quality-based messaging limits. WhatsApp messaging limits may be adjusted by Meta based on your account quality rating. Additional WhatsApp messages beyond plan limits are charged per conversation.

Domain Authentication

You must authenticate your sending domain with SPF, DKIM, and DMARC records before sending campaigns. NexSent provides the necessary DNS records, but you are responsible for configuring them correctly.

Account Suspension

We reserve the right to suspend or terminate your account if:

  • Your bounce rate exceeds 5% consistently
  • Your spam complaint rate exceeds 0.1%
  • You violate the Acceptable Use Policy
  • You send to non-opt-in lists
  • We detect fraudulent or abusive activity
  • Your WhatsApp quality rating drops to RED
  • You violate Meta's WhatsApp Business Policy
  • You have a high block/report rate on WhatsApp messages
  • You send WhatsApp messages without proper opt-in consent

We will attempt to notify you before suspension, except in cases of severe or immediate threat.

WhatsApp Business API Terms

WhatsApp

The following terms apply specifically to WhatsApp messaging through NexSent:

  • NexSent provides WhatsApp messaging through Meta's Cloud API
  • You agree to comply with Meta's Platform Terms, WhatsApp Business Terms of Service, and WhatsApp Commerce Policy
  • Meta may restrict or terminate your WhatsApp Business API access at any time
  • NexSent is not liable for service disruptions caused by Meta's platform
  • Template approval decisions are made solely by Meta
  • Conversation-based pricing is set by Meta and may change without notice

Data Ownership

You retain full ownership of your subscriber data and email content. NexSent does not claim any intellectual property rights over your content. Upon account termination, you may export your data within 30 days.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our control.

Limitation of Liability

To the maximum extent permitted by law, NexSent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Indemnification

You agree to indemnify and hold NexSent harmless from any claims, damages, or expenses arising from your use of the Service, your email content, or your violation of these Terms.

Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of India.
